Introduction
This Service Agreement (“Agreement”) governs the provision of services by Well Done Is Better Than Well Said LLC (406310763) (“the Company”), registered in Tbilisi, Georgia, through the https://tucuentaengeorgia.com/ and https://youraccountingeorgia.com/ websites, to the client (“you” or “the Client”) for the purpose of facilitating the opening of personal bank accounts in Georgian banks. By checking “I have read and accept the Service Agreement” during the checkout process and checkout, you agree to be bound by this Agreement, in accordance with the Georgia Consumer Rights Protection Act.
1. Scope of Services
The Company offers the following services for a fixed fee of €475 (GEL Equivalent) (no hidden charges):
- Power of Attorney Drafting: Drafting a power of attorney in the Client’s preferred language (English or Georgian) to authorize the Company to act on its behalf for the opening of a personal bank account in Georgia.
- Georgian Translation: Official translation of the Georgian power of attorney, required by the Georgian authorities.
- Notarization in Georgia: We cover all notary costs in Georgia related to power of attorney.
- Bank Account Opening: Management of the application process to open a personal bank account at any Georgian bank, with a preferential recommendation for SOLO Bank’s Premium or Club packages due to their advantages (e.g. access to VIP lounges, concierge, and better deposit conditions). The Company reserves the right to refuse to work with a specific bank if it deems it necessary.
- Assignment of a Personal Banker: We facilitate the assignment of a dedicated personal manager by the bank to assist in account management and queries.
- Support During the Process: We provide guidance and resolve doubts related to the account opening procedure at no additional cost.
Exclusions
The following aspects are not included in the service fee and are the responsibility of the Client:
- Notarization and apostille costs in the Client’s home country for power of attorney and passport copies.
- Costs associated with shipping notarized and apostilled documents to Georgia.
- Annual or monthly bank account maintenance fees charged by the bank (e.g. SOLO Bank: SOLO X – 350 GEL/year, SOLO Premium – 550 GEL/year, SOLO Club – 800 GEL/year).
- Card shipping costs (e.g. DHL fees for Premium ONLY, approximately 60-80 USD, deducted by the bank; ONLY Club includes free shipping).
2. Obligations of the Client
In order for the Company to provide the services, the Client must:
- Provide Accurate Information: Send complete and truthful data, including:
- Full name, email, phone number (with country code), and passport number (with clear photo or scanned copy).
- Legal address in the country of citizenship and, if different, tax address in the country of residence.
- Estimate of annual income for the Georgian bank account and source of funds (e.g. employment, investments) without documentation, unless required by the bank.
- Preferred Bank (with recommendation from SOLO Bank, SOLO Premium or SOLO Club packages) and payment preference (annual or monthly).
- Power of Attorney Requirements: Provide one or two notarized and apostilled copies of the power of attorney, including:
- The exact content provided in the Company’s draft, specifying the passport number (not ID).
- A notarized and apostilled copy of the passport within each copy of the power of attorney, ensuring that the Client’s photo is clear and recognizable.
- Compliance with Bank Requirements: Meet the bank’s Know Your Customer (KYC) requirements, such as revenue thresholds (e.g., Premium ONLY: 3,000 GEL revenue or 30,000 GEL deposit) or other criteria.
- Timely Submission: Submit all required documents in a timely manner to avoid delays in the application process.
Failure to provide accurate or complete information may result in the inability to provide the services or in rejection by the bank, without liability to the Company.
3. Payment Terms
- Service Fee: The total cost of the service is €475 (GEL equivalent), payable by credit/debit card through the secure payment system of the websites.
- No Hidden Fees: The fee covers all services listed in Section 1. The Company will not impose additional charges (e.g., follow-up or annual fees).
- Non-Refundable Fees: Except as provided in Section 4, the fee is non-refundable once the Company initiates the service process.
4. Cancellation and Refund Policy
- Cancellation by the Client: If the Client cancels before the Company initiates the bank application process (e.g. before submitting the power of attorney to the bank), 80% of the fee (380€) (GEL equivalent) will be refunded, deducting administrative costs.
- Non-Performance by the Company: If the Company does not initiate the process (e.g. drafting, translation or notarization) for reasons attributable to the Company, 100% of the fee (475€) (GEL equivalent) will be refunded.
- Rejection by the Bank: If the bank rejects the application for reasons beyond the Company’s control (e.g., banking policies, incomplete Customer details, or non-compliance with KYC), no refund will be issued, but the Company may assist with a new application at no additional cost, if agreed.
- Refund Process: Send refund requests to abre@tucuentaengeorgia.com or open@yourcompanyingeorgia.com within 14 days of payment, including name, service details, and reason. Requests will be reviewed within 5 business days, and approved refunds will be processed within 10 business days to the original payment method.
- Exceptions: No refunds will be issued if:
- The Client provides false, incomplete data or an invalid power of attorney (e.g. with ID instead of passport).
- The bank rejects the application for non-compliance with KYC or other requirements.
- Changes in banking policies or regulations prevent the opening of the account.
This policy is aligned with the Georgia Consumer Rights Protection Act.
5. Limitations of Liability
- Bank Approval: The Company facilitates the application process, but does not guarantee bank account approval, which is dependent on the bank’s discretion and policies (e.g., KYC requirements). The Company is not responsible for the approval or rejection decisions of banks.
- Power of Attorney: The Company is not responsible for rejections due to invalid or incomplete powers of attorney (e.g. use of ID instead of passport or unclear passport copies).
- Actions of Third Parties: The Company is not responsible for actions, decisions or policy changes of banks or third parties (e.g., changes to SOLO Bank packages or CRS regulations).
- Damages: To the extent permitted by law, the Company is not liable for damages arising from the use of its services or websites, including delays, refusals, or financial losses.
6. AML/KYC protocols
Well Done Is Better Than Well Said LLC (406310763) strictly complies with Georgia law and the following protocols:
- KYC (Know Your Customer): We deal directly with all our customers, never through intermediaries, to ensure proper verification of their identity.
- AML (Prevention of Money Laundering): We apply protocols to prevent money laundering and terrorist activities, ensuring compliance with applicable regulations.
7. Force Majeure
The Company shall not be liable for delays or failures in the provision of services due to force majeure events, including, but not limited to, natural disasters, wars, unforeseen legislative changes, interruptions in banking services, or any other circumstances beyond its reasonable control. In such cases, the Company will notify the Client and seek alternative solutions, if possible, without guaranteeing results.
8. Data Protection
The Company processes personal data in accordance with the Georgia Personal Data Protection Act (PDPA) and, for EU residents, the General Data Protection Regulation (GDPR). Data is shared with banks (e.g. SOLO Bank or other Georgian banks) for application purposes and is retained for 5 years after termination of service, as required by law.

- Refund Policy: Details the refund conditions (e.g., 100% if the Company does not initiate the service, 80% if the Client cancels before the banking process, no refund for bank declines).
- Legal Notice: Identifies the Company, its registration(406310763), and liability for content and links to third parties, protected by the laws of Georgia.
- Disclaimer: Limits the Company’s liability for bank approvals, invalid powers of attorney, or changes in banking policies, emphasizing the Client’s obligations to provide truthful data.

10. Intellectual Property
All content on https://tucuentaengeorgia.com/ and https://youraccountingeorgia.com/, including text, designs, and materials, is the property of Well Done Is Better Than Well Said LLC (406310763) and is protected by the laws of Georgia. Unauthorized use is prohibited.
11. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Georgia. Disputes will be resolved in the courts of Tbilisi, unless otherwise provided (e.g. GDPR for EU residents). For EU customers, alternative dispute resolution options may be available under EU law.
12. Modifications
The Company may update this Agreement by posting the changes in https://tucuentaengeorgia.com/ and https://youraccountingeorgia.com/. Your continued use of the Services following updates constitutes acceptance of the revised terms.
